Waredock Platform Terms and Conditions
Waredock Estonia OÜ, Kirsi 8-117, 1016, Tallinn, Estonia (“Waredock”) operates the digital platform www.waredock.com, an online portal for procurement, consulting, and software solutions for warehousing, fulfilment, shipping, and associated logistics services (“Platform”).
These Terms and Conditions (“Terms”) apply to Merchants and Logistics Providers using the Waredock Platform. Waredock, Merchant, and/or Logistics Provider may be individually referred to as a “Party” or collectively as “the Parties.”
Special requirements for Logistics Providers may also be governed by Special Terms for Logistics Services.
A. General Terms and Conditions for Waredock
1. Definitions
API means application programming interface.
Day means a calendar day.
Logistics Provider means a service provider offering logistics services such as warehousing, fulfilment, shipping, or related services in Estonia or elsewhere.
Logistics Services means services provided regarding storage, order picking, packaging, shipping, and related logistics as specified for each transaction.
Merchant means a company operating in ecommerce, retail, or related sectors.
Pricing Framework means the standards or annex for exchanging quotes between Parties.
Profile means a user account/profile for a User.
Services means all functionalities available to Platform Users.
Terms means the terms and conditions a User accepts upon use, registration, or login.
Users means any Merchant(s) or Logistics Provider(s) using the Platform.
2. General Information
The Platform connects Merchants and Logistics Providers, enabling transparent communication and contract conclusion for Logistics Services.
Merchants use the Platform to find Logistics Services, conclude contracts, and manage services via Waredock’s software.
Logistics Providers use the Platform to offer services and manage relationships via Waredock’s software.
Users agree to comply with all applicable laws (Estonian, EU, GDPR), including employment, copyright, data protection, and Platform Terms.
3. Platform Use Requirements
The Platform is a business-to-business portal, intended for legal entities or partnerships acting in their professional capacity; consumers may not use the Platform.
Registration is required for certain Platform Services and data access.
Registering or using the Platform indicates acceptance of the Terms and acknowledgment of the Privacy Policy.
Users must provide complete, accurate information during registration and maintain updated profiles.
Passwords are chosen in accordance with Platform requirements and must not be disclosed to third parties. Users are responsible for maintaining profile security and reporting suspected misuse immediately.
Users are liable for all activity under their Profile and must maintain professional interaction.
4. Offers and Requests for Logistics Services
Merchants may publish non-binding search requests and receive non-binding offers from Logistics Providers.
Merchant data is shared to create matching offers. If successful, Merchants may proceed with offers and connect with Providers via the Platform.
Waredock strives to connect Merchants with suitable Providers but does not guarantee individual matches; Merchants should conduct their own due diligence.
5. Negotiation and Agreement
Some negotiation may take place off the Platform. Waredock may request updates on negotiation status from either Party.
Contracts for Logistics Services are concluded directly between Merchant and Logistics Provider; Waredock is not party to such agreements. Final contracts should be submitted to Waredock.
Upon contract notification, Waredock provides further software services per agreement.
6. Service Center
Waredock provides a service center for Platform Users on business days (excluding Estonian public holidays), typically 9:00–17:00 Eastern European Time.
Contact via phone, email, or means indicated on the Platform.
All requests are processed in order of receipt, subject to reasonable response times.
7. Fees and Payments
Platform usage and registration are free for Merchants and Logistics Providers.
Logistics Service agreements may incur performance-based fees for Providers. Merchant fees are defined in the Software Service Agreement or Carrier Service Agreement.
All charges are subject to Estonian VAT where applicable.
8. Termination, Blocking, Limitation
Users may terminate Their Profile via Platform settings or by contacting support. Waredock may require confirmation and will deactivate Profiles promptly, deleting data per Privacy Policy.
Waredock may discontinue Platform operation with 3 months’ notice, or terminate/block access for non-compliance.
Termination does not affect obligations existing prior to effective termination.
Waredock may limit access in cases of inappropriate use or technical/security concerns.
9. Warranty and Liability
Waredock is not liable for contracts or business dealings between Merchants and Providers, except for Platform functionality.
Waredock does not provide legal advice or mediation in disputes. Legal remedies are as per applicable law and these Terms.
Platform availability is targeted at 99%, excluding scheduled maintenance, and subject to technical constraints.
Waredock liability is limited except for intent, gross negligence, or injury to life/health.
10. Indemnification
Users indemnify Waredock against all third party claims, losses, or damages arising from non-compliance, third party rights infringement, or violation of law/regulation.
11. Confidentiality
All parties must keep confidential information secure, using it only for agreed purposes, and returning or destroying it on termination. Disclosure to authorities must be notified promptly.
12. Data Protection
Waredock complies with EU GDPR and Estonian law for collecting, storing, and processing personal data. See www.waredock.com/privacy-policy.
13. Disputes, Applicable Law, Jurisdiction
These Terms are governed by Estonian law. Where there is a conflict between translations, Estonian language prevails.
Place of jurisdiction for all disputes is Tallinn, Estonia.
14. Miscellaneous
Users may not assign rights/obligations without written consent. Waredock may assign rights/obligations to affiliates upon timely notification.
Non-enforcement does not waive provisions; ineffective provisions will be replaced to reflect intended purpose.
No partnership, joint venture, or agency is created between any Parties.
Waredock may make non-material changes to Terms, informing Users by email/notification, effective unless objection within 2 weeks.
Waredock endeavors for accuracy but information may change; all is provided “as is” without warranty.
